These Terms of Service (“Terms”) are a legal agreement between you and Inovetix Inc. (“Inovetix,” “we,” “us,” or “our”) and govern your access to and use of the Olden: AI Photo Restoration mobile application (“Olden” or the “App”).

By downloading, accessing, or using Olden, you agree to these Terms. If you do not agree with these Terms, please do not use the App.

1. About Olden

Olden is a photo restoration and enhancement application operated by Inovetix Inc. and designed to help users improve, restore, stylize, and enhance images.

Depending on the version of the App, Olden may provide features such as Memory Fusion, background removal, retro effects, photo restoration, colorization, denoising, and image enhancement.

Some features may be processed locally on your device, while other features may require an internet connection and may use third-party processing infrastructure or application programming interfaces (APIs).

2. Eligibility and Acceptable Use

You must be at least 13 years old to use Olden. If you are under 18 (or the age of legal majority in your jurisdiction), you may use Olden only with the consent of a parent or legal guardian who agrees to these Terms on your behalf.

You may use Olden only in compliance with applicable laws and these Terms. You are responsible for ensuring that your use of the App and the images you submit are lawful and do not violate the rights of other people.

• Do not use Olden to create, process, or distribute unlawful, fraudulent, abusive, defamatory, or infringing content.
• Do not upload images that you do not have the right or permission to use.
• Do not attempt to bypass subscription, credit, feature, or technical restrictions.
• Do not reverse engineer, decompile, disassemble, modify, or attempt to obtain the source code of the App, except where such restriction is prohibited by applicable law.
• Do not interfere with, disrupt, overload, or attempt to gain unauthorized access to Olden or its supporting systems.
• Do not use automated methods to abuse, scrape, or excessively access Olden’s services.

3. Your Photos and User Content

You retain ownership of the photos, images, and other content you provide to Olden (“User Content”). Neither Olden nor Inovetix Inc. claims ownership of your User Content.

When you submit an image for processing, you grant Inovetix Inc. and its service providers a limited, non-exclusive permission to access and process that image only as reasonably necessary to provide the requested functionality, operate the App, maintain security, troubleshoot failures, and perform other activities described in the applicable Privacy Policy. This permission ends when the processing and related activities described in the Privacy Policy are complete.

You are responsible for your User Content and represent that you have all rights, permissions, and lawful authority necessary to submit and process it through Olden.

AI-assisted results may not always be accurate or identical to the original image. Restoration, colorization, enhancement, and other generated results are provided as creative or assistive outputs and should be reviewed by you before use.

4. Free Features and Premium Access

Olden may offer a limited free experience. At launch, certain non-API features, including selected Memory Fusion, background removal, and retro-effect functionality, may be available for a limited number of free uses. After the applicable free allowance has been used, those features may require a Premium subscription.

Features that require server-side or API processing may be locked from the beginning and may require an active Premium subscription before they can be used.

Purchasing Premium unlocks the premium functionality made available by the App, subject to the applicable plan, credit balance, technical availability, and any feature-specific limitations displayed in Olden.

5. Credits and Processing Costs

Certain AI-powered processing features use credits. Credits are an in-app usage unit and do not represent money, stored value, or a refundable balance.

The current credit consumption displayed in the App is:

• Fix Old Photo — 3 credits per processing
• Colorize — 3 credits per processing
• Denoise — 1 credit per processing
• Enhance — 4 credits per processing
• Bg Remove — 1 credit per processing

Credits are granted for one billing period. Unused credits expire when that period ends and do not roll over, including if you cancel or do not renew.

Credits are used when processing begins. If a run fails for a technical error, we may restore them after verification.

Credits have no cash value and cannot be transferred, sold, or redeemed outside the app.

Olden may introduce additional credit-based features or adjust credit consumption where reasonably necessary to reflect processing costs, technical changes, or product updates. Where applicable, the credit requirement will be shown before or at the point of processing.

6. Premium Subscriptions and Pricing

Olden offers Premium subscription plans through the Apple App Store on iOS and Google Play on Android. The current plans are:

• Weekly — USD $8.99, including 50 credits per billing period
• Monthly — USD $19.99, including 120 credits per billing period
• Yearly — USD $59.99, including 600 credits per billing period

Prices, taxes, introductory offers, promotional offers, and availability may vary by country or region and will be shown on the applicable purchase screen before you confirm the transaction.

Subscriptions purchased through the Apple App Store or Google Play are billed by the applicable platform. Olden does not directly process the app-store subscription payment unless expressly stated otherwise in the App.

7. Subscription Renewal, Cancellation, and Restore

Unless otherwise stated on the purchase screen or required by applicable law, a subscription automatically renews for the same subscription period unless you cancel it before the renewal date through your Apple App Store account settings (on iOS) or your Google Play account settings (on Android).

Your subscription remains active until the end of the paid billing period after cancellation, unless the applicable app-store rules provide otherwise. Deleting the App does not by itself cancel an active subscription.

You may use Olden’s restore-purchase functionality, where available, to restore eligible purchases associated with the same app-store account.

Subscription management, cancellation, refunds, and certain billing matters are handled under the rules and systems of the applicable app store (Apple App Store or Google Play), including their respective refund policies.

8. App Store Terms and Third-Party Platforms

If you download Olden from the Apple App Store or Google Play, your use is also subject to the applicable platform’s terms, policies, and usage rules.

For users who download Olden from the Apple App Store, the following additional terms apply:

• (a) these Terms are concluded between you and Inovetix Inc. only, and not with Apple Inc. (“Apple”);
• (b) Inovetix Inc., not Apple, is solely responsible for Olden and its content;
• (c) Apple has no obligation to furnish any maintenance or support services with respect to Olden;
• (d) in the event of any failure of Olden to conform to an applicable warranty, you may notify Apple and Apple will refund the purchase price for the App to you (if any), and to the maximum extent permitted by applicable law, Apple has no other warranty obligation with respect to Olden;
• (e) Apple is not responsible for addressing any claims by you or a third party relating to Olden, including product liability claims, claims that Olden fails to conform to legal or regulatory requirements, and consumer-protection claims;
• (f) in the event of a third-party claim that Olden infringes intellectual-property rights, Inovetix Inc., not Apple, is responsible for the investigation, defense, settlement, and discharge of such claim to the extent required by these Terms; and
• (g) Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, Apple will have the right to enforce these Terms against you as a third-party beneficiary.

Third-party services used to support Olden may have their own terms and privacy policies. Olden is not responsible for third-party services beyond its reasonable control.

9. Privacy

Your privacy is important to us. The Olden Privacy Policy, available at https://inovetix.com/olden/privacy, explains what information Olden may collect, how photos and other information may be processed, how third-party service providers may be involved, and the choices available to you.

The Privacy Policy forms part of the overall rules governing your use of Olden and should be read together with these Terms.

10. Intellectual Property

Olden and its underlying software, user interface, branding, logos, names, designs, text, graphics, technology, and other materials are owned by or licensed to Inovetix Inc. and are protected by applicable intellectual-property laws.

Except for the limited right to use the App in accordance with these Terms, no ownership or other intellectual-property rights are transferred to you.

You may use your lawful processed or generated results for personal or other lawful purposes permitted by the App. However, you remain responsible for ensuring that your use of any result does not violate third-party copyright, trademark, privacy, publicity, or other rights.

11. AI and Processing Limitations

Olden uses automated image-processing and, where applicable, AI-based technologies. These technologies can produce imperfect, unexpected, or inaccurate results.

Olden does not guarantee that a processed image will accurately reproduce missing details, historical appearance, facial features, colors, text, objects, or other information.

You should not rely on Olden’s output as authoritative evidence of historical facts, identity, authenticity, or the original condition of an image.

12. Availability and Changes to the App

We may improve, modify, add, remove, suspend, or discontinue features of Olden from time to time. We may also change technical requirements, processing models, credit requirements, or supported devices when reasonably necessary to operate or improve the service.

We aim to keep Olden available and reliable, but we do not guarantee that the App will always be uninterrupted, error-free, or available at every time or in every location.

13. Device, Connectivity, and Third-Party Charges

Some Olden features require an internet connection. You are responsible for your device, operating system compatibility, internet access, and any mobile data or other charges imposed by your carrier or network provider.

14. Disclaimer

To the fullest extent permitted by applicable law, Olden is provided on an “as available” and “as is” basis.

We make no guarantee that the App will meet every individual requirement or that every processing request will produce a particular result.

Nothing in these Terms limits any consumer rights, statutory warranties, or other rights that cannot lawfully be excluded or limited in your jurisdiction.

15. Limitation of Liability

To the fullest extent permitted by applicable law, Inovetix Inc. and its owners, operators, affiliates, contractors, and service providers will not be liable for indirect, incidental, special, consequential, or punitive losses arising from your use of or inability to use the App, including losses related to service interruption, technical failures, or dissatisfaction with an image-processing result.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

16. Suspension and Termination

We may restrict, suspend, or terminate access to Olden where reasonably necessary to protect the App, its users, our systems, or third parties, or where you materially violate these Terms, misuse the service, attempt to bypass access controls, or engage in unlawful activity.

If your access is terminated because of a material violation of these Terms, any unused credits and remaining subscription benefits may be forfeited without refund, except where a refund is required by applicable law or the rules of the applicable app store.

If you stop using Olden, these Terms will continue to apply to provisions that by their nature should survive termination, including provisions concerning intellectual property, disclaimers, limitations of liability, and dispute-related matters.

17. Feedback

If you voluntarily provide suggestions, feedback, or ideas about Olden, you agree that we may use that feedback to improve the App without creating an obligation to compensate you, unless applicable law requires otherwise.

18. Changes to These Terms

We may update these Terms when the App, its features, pricing structure, legal requirements, or business practices change.

Updated Terms will be made available through the App, the applicable app-store listing. The Effective Date at the top of this document will be updated when material changes are made.

Where required by law, we will provide additional notice or obtain any required consent.

19. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law principles, except to the extent that mandatory consumer-protection or other applicable laws of your country or state of residence provide otherwise.

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the App shall be resolved by the courts located in the State of Delaware, United States, unless applicable law requires otherwise.

Nothing in this section limits your right to bring a claim in a court or forum where applicable law grants you such a right.

If any provision of this section is found to be unenforceable under applicable law, the remaining provisions shall continue in full force and effect.
